2. Service Description

PrioAI is a feedback management platform that enables users to collect, analyze, and prioritize feedback using AI technology. Our Service includes:

  • Feedback collection widgets and forms
  • AI-powered feedback analysis and clustering
  • Priority ranking and roadmap generation
  • Dashboard and analytics tools
  • API access and integrations (GitHub, Linear, Notion)

3. User Accounts and Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate and complete
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

You are responsible for all activities that occur under your account, regardless of whether you authorized such activities.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights

6. Pricing and Payment

  • Accept automatic renewal unless you cancel your subscription

Billing and Cancellation:

  • Subscriptions are billed in advance on a monthly or annual basis
  • You may cancel your subscription at any time through your account settings
  • Cancellations take effect at the end of the current billing period
  • No refunds are provided for partial months or unused portions

7. Service Availability

We strive for high service availability but cannot guarantee uninterrupted access. We may temporarily suspend access for maintenance, updates, or security reasons.

  • We may modify, update, or discontinue features with reasonable notice
  • We may suspend or terminate accounts that violate these Terms
  • We reserve the right to refuse service to anyone

8. Intellectual Property

The Service and its original content, features, and functionality are owned by PrioAI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service, nor may you reverse engineer or attempt to extract the source code of our Service.

9. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use our Service. By using our Service, you agree to the collection and use of information in accordance with our Privacy Policy.

You are responsible for ensuring compliance with applicable data protection laws when collecting feedback from your users, including obtaining proper consent and providing required notices.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Our AI-powered analysis tools provide automated insights that may not always be accurate. You should not rely solely on AI-generated insights for business decisions. We are not responsible for decisions made based on AI-generated insights.

11. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption.

Our total liability for all claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify PrioAI from all claims, damages, losses, and expenses arising from your violation of these Terms, your use of the Service, or your violation of any rights of another party.

13. Termination

We may terminate your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Upon termination, your right to use the Service ceases immediately. We will provide reasonable notice of termination and opportunity to export your data.

14. Governing Law

These Terms shall be governed by German law. The courts of Frankfurt am Main, Germany shall have exclusive jurisdiction over any disputes arising from these Terms or the Service.

If you are a consumer residing in the EU, you may also bring proceedings in the courts of your country of residence.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or prominent website notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.

16. General Provisions

These Terms constitute the entire agreement between you and PrioAI regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full force.

Our failure to enforce any right or provision does not constitute a waiver of such right or provision.
